1. Agreement to Terms
Welcome to Khaled Media LLC ("Khaled Media," "we," "our," or "us"). By accessing or using our website at khaledmedia.com, our distribution services, admin dashboard, or any related platforms (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our Services.
2. Description of Services
Khaled Media provides: Digital Distribution, YouTube Content ID Management, Publishing Administration, Royalty Collection & Reporting, Rights Management, and Label Services covering 200+ platforms worldwide including Spotify, Apple Music, YouTube Music, Amazon Music, and TikTok.
3. Account Registration & Eligibility
You must be 18+ to use our Services. All registration information must be accurate. You are responsible for account security and all activities under your account.
4. Content Ownership and Rights
You retain all ownership of your Content. You warrant that you own or control all rights necessary to distribute and monetize your content, including master rights, composition rights, performance rights, producer rights, sample clearances, and artwork rights.
5. License to Khaled Media
You grant us a worldwide, non-exclusive license to distribute, reproduce, publicly perform, display, and monetize your Content solely for providing our Services including DSP distribution and Content ID management.
6. Revenue & Royalties
Commission rates and payment terms are specified in your distribution agreement. Payments are processed monthly/quarterly following platform reports. You're responsible for all taxes on your earnings.
7. Termination
Either party may terminate with written notice. We may immediately terminate for Terms violations, copyright infringement, or fraudulent activity. Content removal takes 2-6 weeks.
8. Prohibited Conduct
You may not: infringe intellectual property, upload false information, manipulate streams, engage in fraud, interfere with Services, or violate any laws.
9. Disclaimers
SERVICES PROVIDED "AS IS" WITHOUT WARRANTIES. We don't guarantee uninterrupted service, commercial success, or that your content will be accepted by all platforms.
10. Limitation of Liability
KHALED MEDIA NOT LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES. Maximum liability limited to amount paid in prior 12 months.
11. Indemnification
You agree to defend and indemnify Khaled Media from all claims arising from your Content, Terms violations, or infringement of third-party rights.
12. Governing Law & Disputes
Governed by California law. Disputes resolved through binding arbitration in Los Angeles County. Class action waiver applies.

You retain 100% ownership of all content you submit: sound recordings, musical compositions, artwork, metadata, and promotional materials. Khaled Media does not claim ownership of your content.
2. Rights You Must Control
To distribute through Khaled Media, you must own or control:
• Master Recording Rights (sound recording copyright)
• Musical Composition Rights (song/lyrics copyright or licensing)
• Performance Rights (all featured artists/performers)
• Producer Rights (clearance from producers/beat makers)
• Sample Clearances (licenses for all samples)
• Artwork Rights (visual elements copyright/license)
• Neighboring Rights (public performance monetization)
3. Your Warranties
By submitting content, you warrant that:
• You are the legal owner or authorized representative
• Content is original or properly licensed
• No third-party infringement of any rights
• All collaborators granted permission
• All samples properly cleared
• Compliance with all laws and platform policies
• Authority to enter agreements on behalf of rights holders
4. Rights Licensed to Khaled Media
Distribution License: Worldwide, non-exclusive rights to reproduce, distribute, publicly perform, display, monetize, encode, and deliver your content to DSPs
Content ID License: Create reference files, monitor, claim, and monetize on YouTube
Marketing License: Use artist name/image for promotion
Term: Duration of distribution agreement + 60-90 day wind-down
5. Prohibited Content
You may not submit content that infringes copyright/trademark, contains unauthorized samples, uses copyrighted material without permission, violates publicity/privacy rights, contains hate speech or promotes violence, or violates laws.
6. YouTube Content ID Protection
We create reference files in YouTube's Content ID system, automatically identify and claim videos using your music, earn advertising revenue from claims, and manage disputes/appeals on your behalf.
7. Copyright Protection Services
We monitor for unauthorized use, issue DMCA takedown notices, pursue enforcement against infringement, work with platforms to remove infringing content, and protect from piracy.
8. Third-Party Claims
If a third party claims your content infringes their rights, you must provide documentation proving your rights within 3 business days. Failure may result in permanent removal. Repeat infringement results in account termination.
9. Sampling & Cover Songs
Samples: ALL samples must be cleared before distribution. Written permission and licenses required covering all territories
Cover Songs: Require mechanical licenses (we can assist). Must credit original songwriters accurately
Derivative Works: Remixes/mashups require permission from original copyright holders
10. Royalty Collection
Mechanical: From streaming/downloads to songwriters/publishers
Performance: From PROs (ASCAP/BMI/SESAC) for public performances
Neighboring Rights: From SoundExchange (US) for master recording performances
11. Platform Compliance
Your content must comply with each platform's policies. Platforms may remove content for infringement, quality issues, policy violations, manipulation/fraud, or at their discretion. Khaled Media is not responsible for platform decisions.
12. Content Removal
You may request removal anytime. Takedown takes 2-6 weeks depending on platform. Some platforms have mandatory waiting periods. Content may remain cached temporarily.

5. Counter-Notification Procedure
If you believe content was wrongly removed, file a counter-notification including:

7. Repeat Infringer Policy
Three-Strike System:
• First Strike: Warning, content removal, temporary suspension
• Second Strike: Extended suspension, mandatory rights verification
• Third Strike: Permanent termination, all content removed, unpaid royalties forfeited
Immediate Termination for: Willful infringement, large-scale piracy, fraudulent rights claims, knowingly uploading infringing content
Appeals: Users may appeal within 30 days with proof of rights. Frivolous appeals expedite termination.
8. False Claims & Penalties
Under DMCA Section 512(f), knowingly misrepresenting infringement or removal by mistake subjects you to liability for damages including costs and attorney's fees.
We Will Take Action Against: Fraudulent takedown notices, false ownership claims, harassment through DMCA abuse, false counter-notifications
Consequences: Law enforcement reports, civil liability pursuit, permanent service ban, notification to industry partners
